1. Agreement to Terms

By accessing or using Mindhalo Debate ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Mindhalo Technologies LLC ("Mindhalo," "we," "us," or "our").

2. Age Requirement

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

3. Service Description

Mindhalo Debate is an AI-powered platform that generates structured arguments on both sides of user-submitted topics and provides an evaluation. The Service is provided for informational and entertainment purposes only.

We use third-party AI services (including Anthropic's Claude) to generate debate content. The quality, accuracy, and nature of outputs depend on these third-party services.

4. AI-Generated Content Disclaimer

IMPORTANT: All content generated by this Service is created by artificial intelligence and should be treated accordingly:

• AI-generated content may contain errors, inaccuracies, biases, or outdated information
• AI may "hallucinate" facts, citations, statistics, or sources that do not exist
• The "verdict" and "recommendation" are AI opinions, not objective truth
• AI arguments should not be relied upon without independent verification
• We make no representations about the accuracy, reliability, or completeness of any AI-generated content

5. Not Professional Advice

The content generated by this Service does not constitute professional advice of any kind. This includes but is not limited to:

• Legal advice
• Medical, health, or mental health advice
• Financial, investment, or tax advice
• Relationship or psychological counseling
• Career or business consulting
• Any other form of professional guidance

We strongly recommend consulting qualified professionals for important life decisions. You assume all risk associated with any decisions made based on Service content.

6. User Responsibilities

You are solely responsible for:

• The topics, questions, and context you submit to the Service
• Ensuring your submissions do not violate any laws or third-party rights
• How you interpret, use, and act upon the generated content
• Any consequences resulting from your use of the Service or reliance on its outputs
• Maintaining the confidentiality of any sensitive information you choose to submit

7. Acceptable Use

You agree not to use this Service to:

• Generate content that promotes violence, terrorism, or harm to any person or group
• Create misleading information intended to deceive or defraud others
• Harass, abuse, threaten, or intimidate any person
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Attempt to reverse-engineer, extract, or copy our AI systems or prompts

• Interfere with or disrupt the Service or its infrastructure

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

8. Payment Terms

• All payments are processed securely through Stripe
• Each debate is a one-time purchase at the price displayed at checkout
• Prices are in USD unless otherwise specified
• You are responsible for any applicable taxes
• Refund Policy: Debates are non-refundable once AI processing has begun. If the Service fails to deliver a completed debate due to a technical error on our end, you may request a refund by contacting us within 7 days

9. Intellectual Property

• Your Content: You retain ownership of the topics and context you submit. By submitting content, you grant us a license to process it through our Service and third-party AI providers
• Generated Content: You receive a license to use debate content you have paid for. We retain the right to use anonymized or aggregated data to improve our Service
• Public Debates: If you choose to make a debate public, it may be displayed to other users and may be used by Mindhalo for marketing or demonstration purposes. Debates are private by default
• Our Service: The Mindhalo name, logo, website design, and underlying technology are our property or licensed to us

10. Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled or emergency maintenance
• Third-party service outages (AI providers, payment processors, hosting)
• Technical issues beyond our reasonable control
• Force majeure events

We are not liable for any losses resulting from Service unavailability.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties including but not limited to:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of any content
• Non-infringement of third-party rights
• Uninterrupted, secure, or error-free operation
• Results or outcomes from using the Service

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Mindhalo shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages
• This includes but is not limited to damages for loss of profits, goodwill, data, or other intangible losses
• Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise)

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Mindhalo, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the Service
• Any actions taken based on Service outputs

14. Dispute Resolution

Informal Resolution: Before filing any legal claim, you agree to contact us at hello@mindhalo.ai and attempt to resolve the dispute informally for at least 30 days.

Arbitration: Any dispute not resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration shall take place in Delaware, USA, and be conducted in English.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Exceptions: Either party may seek injunctive relief in court for intellectual property violations or unauthorized access to the Service.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service ceases immediately
• We may delete your data (subject to legal retention requirements)
• Provisions that by their nature should survive termination will survive (including disclaimers, limitations of liability, and indemnification)

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our website and updating the "Last updated" date.

Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mindhalo regarding the Service and supersede all prior agreements and understandings.
